Terms of Service

1. Acceptance of these Terms

By creating an account, starting a free trial or using Dilea, you agree to these Terms and to our Privacy Policy. If you use Dilea for a business, you confirm that you are authorised to accept these Terms on its behalf, and “you” means that business.

Paid plans are also governed by the Subscription Agreement, which you accept at checkout. If the Subscription Agreement and these Terms conflict, the Subscription Agreement applies to your paid subscription.

2. The service

Dilea is cloud software provided by Dilea Ventures ("we", "us"). Depending on your plan it includes CRM and sales pipelines, projects and tasks, attendance and leave, invoicing, agreements and e-signatures, a client portal, automation and email campaigns, accounting, GST reports, expenses, purchasing, inventory and payroll.

We continuously improve the service and may add, change or retire features. We will not materially reduce the core functionality of a plan during a period you have already paid for.

3. Accounts, workspaces and users

Each business uses its own workspace. The workspace owner and admins control who is invited, which role each person has and which plan the workspace is on.

You are responsible for activity in your workspace, for keeping sign-in credentials and API tokens confidential, and for telling us promptly about any unauthorised access.

The number of team members may not exceed the user limit of your plan. Client portal users do not count towards the limit.

4. Free trial

New workspaces receive a free trial for the period shown at sign-up. No payment details are needed for the trial and nothing is charged automatically when it ends.

When the trial ends without a paid plan, the workspace becomes read-only: you can still sign in, view and export your data, but you cannot create or change records until a plan is purchased.

5. Plans, fees and taxes

Current plans and prices are listed on the pricing page. Prices are in Indian rupees and exclude Goods and Services Tax (GST), which is added at the applicable rate (CGST and SGST, or IGST, depending on your billing address). Customers outside India are billed without GST where the law allows.

Subscriptions are prepaid for a month or a year. Every payment produces a GST tax invoice, available at any time from Settings → Billing & Plan.

We may change prices for future periods with at least 30 days’ notice. A price change never affects a period you have already paid for.

6. Renewals, grace period and read-only access

Paid periods do not renew by charging you automatically. We remind the workspace’s billing contacts before a period ends, and you renew from the Billing page.

If a period ends without renewal, a short grace period applies during which everything keeps working. After the grace period the workspace becomes read-only until you renew. Your data is not deleted because a payment is late.

7. Changing plans

You can upgrade, downgrade or switch between monthly and yearly billing at any time. A new plan starts immediately and the unused value of your current paid period is credited against its price. Credits are not paid out in cash.

If you move to a plan that does not include a module, that module becomes unavailable but its data is kept and returns if you upgrade again.

8. Cancellation and refunds

You can cancel from the Billing page at any time. Cancelling stops renewal and you keep access until the end of the period already paid for. Refunds are handled under our Refund & Cancellation Policy.

9. Payments

Online payments are processed by our payment partner (Razorpay) using UPI, cards, net banking or wallets. We never see or store your full card or bank credentials. Enterprise customers may pay by bank transfer against an invoice.

10. Your data

You own the data you put into the service. We process it only to provide, secure, support and improve the service, as described in our Privacy Policy, and we never sell it.

You are responsible for having the right to store and process the personal data of your employees, clients and contacts in the service.

You can export your data while your workspace is active or read-only. After an account is closed or remains unpaid for a prolonged period, we keep the data for at least 30 days so it can be exported, after which it may be deleted.

11. Acceptable use

You agree not to use the service to send spam or unsolicited bulk messages, to store or share unlawful or infringing content, to attempt to access other workspaces, to probe, overload or disrupt the service, or to reverse engineer it.

12. Third-party services

Dilea can connect to services such as Google Calendar, Gmail and Google Ads at your request. Your use of those services is governed by their own terms. Information received from Google APIs is used in line with the Google API Services User Data Policy, including its Limited Use requirements.

13. Availability and support

We aim to keep the service available at all times, apart from planned maintenance which we try to schedule outside Indian business hours. Support is available at support@dileaventures.com; plans with priority support receive faster responses.

14. Suspension and termination

We may suspend a workspace that breaches these Terms, puts the service or other customers at risk, or is used unlawfully. Where possible we will tell you first and give you a chance to fix the problem.

You may stop using the service at any time. Either party may terminate for a material breach that is not remedied within 15 days of written notice.

15. Disclaimers and limitation of liability

The service is provided with reasonable skill and care but otherwise "as is". Payroll, tax, GST and accounting figures produced by the service are tools to help you; you remain responsible for reviewing them before filing or paying.

To the extent permitted by law, neither party is liable for indirect or consequential losses, including loss of profits or data, and our total liability in any twelve months is limited to the fees you paid us in that period.

16. Changes to these Terms

We may update these Terms. We will post the new version here with a new date and, for material changes, notify workspace owners by email or in the app. Continuing to use the service after the changes take effect means you accept them.

17. Governing law

These Terms are governed by the laws of India. Courts at the registered seat of Dilea Ventures have exclusive jurisdiction.
